Introduction

Welcome to Scripty Editor (“Scripty,” “we,” “our,” or “us”), a product developed and operated by Montoro6 Holdings LLC.

These Terms of Use (“Terms”) govern your access to and use of Scripty and any related websites, applications, or services we provide.

By accessing or using Scripty, you agree to be bound by these Terms. If you do not agree, you should not use Scripty.

1. Eligibility

You must be at least 13 years old, or the minimum age required by the laws of your jurisdiction, to use Scripty.

If you use Scripty on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

2. License to Use Scripty

Subject to these Terms, Montoro6 Holdings LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use Scripty for personal or commercial screenplay writing.

This license does not transfer ownership of Scripty or any of its intellectual property.

3. What Scripty Is

Scripty is a local-first screenplay editor that runs in your browser.

Scripty allows you to create, edit, import, export, and manage screenplay files.

Unless you voluntarily send content to us, screenplay files remain stored locally on your device and are not uploaded to Scripty's servers during normal use.

4. Ownership of Your Work

You retain all ownership rights to the screenplay files, stories, characters, dialogue, and other content you create using Scripty.

Montoro6 Holdings LLC does not claim ownership of your creative work.

Because Scripty is designed as a local-first application, your screenplay files are not uploaded to our servers during normal use.

5. Ownership of Scripty

Scripty, including its software, user interface, design, graphics, logos, trademarks, documentation, source code, and other intellectual property, is owned by Montoro6 Holdings LLC or its licensors and is protected by applicable intellectual property laws.

Except for the limited license granted under these Terms, no rights are transferred to you.

6. Local Storage and Backup Responsibility

Scripty stores screenplay files locally using browser storage technologies such as IndexedDB or similar browser storage.

Because screenplay files remain on your device rather than on Scripty's servers, you are solely responsible for maintaining backups of your work.

Montoro6 Holdings LLC cannot recover, restore, replace, or retrieve screenplay files that are lost, deleted, corrupted, overwritten, or otherwise become inaccessible.

We strongly recommend exporting backups of your screenplay regularly.

7. File Imports and Exports

Scripty may support importing or exporting file formats such as:

• Final Draft (.fdx)
• PDF
• Plain Text
• additional formats introduced in future updates

Import and export features are provided for convenience.

Formatting, pagination, fonts, spacing, and other formatting elements may differ between applications.

PDF import features, if provided, may be experimental or beta and may not perfectly reproduce the original document.

You are responsible for reviewing imported and exported files before relying on them.

Montoro6 Holdings LLC is not responsible for formatting errors, conversion inaccuracies, missing content, or data loss resulting from file imports or exports.

8. Acceptable Use

You agree not to:

• violate any applicable law
• infringe the rights of others
• distribute malware or malicious code
• interfere with the operation of Scripty
• attempt unauthorized access to Scripty or its infrastructure
• reverse engineer, decompile, or attempt to extract source code except where permitted by applicable law
• use automated systems to abuse or overload the service
• remove copyright, trademark, or proprietary notices
• impersonate another individual or organization
• use Scripty in a manner that harms other users or Montoro6 Holdings LLC

9. Availability

We continually improve Scripty and may add, modify, suspend, or discontinue features at any time.

While we strive to provide a reliable experience, we do not guarantee that Scripty will always be available or operate without interruption.

10. Beta Features

Some features may be identified as beta, preview, experimental, or under development.

These features may change, be discontinued, or produce unexpected results.

You should maintain backups of your work when using experimental functionality.

11. Feedback

If you voluntarily submit feedback, ideas, suggestions, feature requests, or other comments regarding Scripty, you grant Montoro6 Holdings LLC a perpetual, worldwide, royalty-free, irrevocable, and sublicensable right to use, modify, incorporate, publish, and otherwise use that feedback without compensation or obligation to you.

12. Disclaimer of Warranties

Scripty is provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by applicable law, Montoro6 Holdings LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• Scripty will be error-free
• Scripty will be uninterrupted
• Scripty will preserve your screenplay files
• browser storage will remain available
• imports or exports will always be accurate
• Scripty will meet your particular requirements

13. Limitation of Liability

To the fullest extent permitted by applicable law, Montoro6 Holdings LLC, its affiliates, officers, directors, employees, contractors, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of, or inability to use, Scripty.

This includes, without limitation:

• loss of screenplay files
• deletion of screenplay files
• corruption of screenplay files
• browser storage failures
• device failures
• import or export errors
• formatting inaccuracies
• interrupted work
• lost profits
• lost business opportunities
• loss of goodwill
• loss of data
• any other damages arising from the use of Scripty

Your sole remedy if you are dissatisfied with Scripty is to discontinue using the service.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Montoro6 Holdings LLC, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:

• your use of Scripty;
• your violation of these Terms; or
• your violation of any law or the rights of another person.

15. Suspension or Termination

We may suspend, restrict, or terminate your access to Scripty if we reasonably believe your use violates these Terms, threatens the security or integrity of the service, or is unlawful.

We may also discontinue Scripty at any time without liability.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of Scripty shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and Montoro6 Holdings LLC regarding your use of Scripty and supersede any prior agreements relating to the subject matter of these Terms.

20. Changes to These Terms

We may update these Terms from time to time.

When we do, we will update the Effective Date shown at the top of this page.

Your continued use of Scripty after updated Terms become effective constitutes your acceptance of the revised Terms.
